**Terms and Conditions of Use for the Sakit Website**

**1. General**

1.1. Welcome to the Sakit website (hereinafter: "the Website"). By using the Website, directly or indirectly, including any content and/or service therein, any person and/or entity (hereinafter: "the User") agrees to and undertakes to comply with these terms of use, including the privacy policy (hereinafter: "Privacy Policy"), detailed below, as they may be updated from time to time (hereinafter: "Terms of Use").

1.2. Additionally, the Website may contain content and/or services that are subject, in addition to these Terms of Use, to specific terms of use (hereinafter: "Specific Terms of Use"). By using such content and/or services, the User agrees to and undertakes to comply with the Specific Terms of Use applicable to such content and/or services, as they may be updated from time to time.

1.3. Therefore, before performing any action on the Website, the User is requested to carefully read these Terms of Use, including the Privacy Policy, and also to read the Specific Terms of Use before using any service and/or content subject to them.

1.4. It is hereby clarified that the use of the masculine gender in the Terms of Use and/or the Specific Terms of Use is for convenience only and does not imply any discrimination.

**2. Registration and Use of Information**

2.1. Registration to the Website and the use of information provided by the User to the Company and/or accumulated about the User during the use of the Website will be carried out in accordance with the provisions of any applicable law and in accordance with the Privacy Policy of the Website, which is an integral part of these Terms of Use. It is hereby clarified that the User's consent to these Terms of Use, as detailed below, constitutes agreement to all the terms and provisions set forth in the Privacy Policy.

**3. Ownership and Intellectual Property Rights**

3.1. In cases where they are presented on the Website and/or through the Website by third parties and/or presented by the Company and belong to third parties, they are the exclusive property of those third parties, and the User will have no rights in them (hereinafter: "Protected Elements").

3.2. Without derogating from the provisions of Section 3.1 above, it is hereby clarified that the domain name "Sakit" in all its variations, and the trademarks of the Company (whether registered or not), are included in the Protected Elements and are the exclusive property of the Company. They may not be used for any prohibited purpose unless prior written approval is obtained from the Company.

3.3. The User is prohibited from making any changes, copying, duplicating, translating, redistributing, transmitting, publishing, selling, or marketing any part of the Website, including but not limited to the Protected Elements, in whole or in part, without the Company's consent, if and when given, in advance and in writing.

**4. Website Content and Advertisements**

4.1. In these Terms of Use, Privacy Policy, and Specific Terms of Use, the term "Content" means: any content, including but not limited to, text, links (Hyperlinks), design, illustrations, images, graphics, software, graphs, sounds, video clips, and/or audio files, etc.

4.2. The Website may display content, publications, advertisements, articles, information, services, products, and/or any other content of third parties and/or on their behalf, either by directing the User to third-party websites and/or by displaying them on the Website, including shopping guides, articles, specifications, and/or product images (hereinafter: "Third-Party Content"). Without derogating from the above, the User's use of Third-Party Content is subject to the terms and/or privacy policy of those third parties, if applicable.

Any content and/or information provided on the Website in connection with a product and/or service, including specifications, operating instructions, and various data, is provided by the importer and/or manufacturer of the product or service provider (as applicable). The images provided on the Website, including those related to products, are always for illustration purposes only and are not binding on the Company. Any information and/or content on the Website as mentioned above will always be subject to the information provided with the product and/or service at the time of actual purchase, and in the event of any contradiction and/or discrepancy, the latter shall prevail. The Company shall not be liable in connection with any content and/or information presented on the Website (including any errors, mistakes, and/or inaccuracies therein), whether provided by the importer, manufacturer, and/or supplier or by the Company.

4.5. The terms and validity of any promotion advertised on the Website shall be subject to the terms set for that promotion and/or the available inventory.

4.6. The User shall conduct all necessary assessments and checks independently and waives and shall be barred from raising any claim regarding reliance on any of these.

5.2. The User declares and undertakes that he is solely and fully responsible for any use he makes of the Website, including any content and/or service therein, and that he is aware that the Company is not responsible, directly or indirectly, for any use he makes of the Website.

5.3. The Company and/or anyone on its behalf shall not be liable for any damage and/or loss, direct or indirect, including incidental, consequential, incidental, or punitive damages (including, but not limited to, compensation for loss of work and business, loss of profits, interruptions and disruptions to work, loss and/or loss of business information, harm to reputation, and any other financial loss and/or damage), arising and/or related to the Website, or any content and/or service therein, or any use thereof, including but not limited to: 1) Use and/or inability to use the Website, including any content and/or service therein, for any reason; 2) Messages and/or files received by the User during and/or as a result of using the Website, including any content and/or service therein; 3) Use or reliance on information and content published on the Website, whether by the Company or by third parties; 4) Any act and/or omission made in the content of the Website or in connection with it after it has been delivered to third parties; 5) Interruptions, availability, and integrity of the Website, including any content and/or service therein, for any reason, including arising from disruptions or failures in the Internet network or the telephone network; 6) Damage or loss caused by an error, mistake, inaccuracy, etc., in the content of the Website.

5.4. The User undertakes to indemnify and hold harmless the Company and/or anyone on its behalf, immediately upon the first demand, for any damage, loss, loss of profit,

 payment, or expense incurred by them, including legal fees and trial expenses, due to the violation of the Terms of Use and/or the Specific Terms of Use by the User and/or any obligation imposed on the User by the Terms of Use and/or the Specific Terms of Use, or violation of any law and/or right of third parties, by the User.

**6. Conflicts and Inconsistencies**

6.1. It is hereby clarified that any conflict or inconsistency between the content of the Website and the Terms of Use, including the Privacy Policy and Specific Terms of Use, shall be resolved in favor of the Terms of Use and/or Specific Terms of Use, as the case may be.

The Company reserves the right to change, at its discretion and without the need for prior notice to the User, these Terms of Use, including the Privacy Policy and Specific Terms of Use. Any change as mentioned above shall be binding upon the User from the moment of its publication on the Website.

**8. Availability and/or Changes to the Website**

8.1. The Company reserves the right to shut down the Website, in whole or in part, at any time, at its sole discretion and without prior notice to the User. The User waives any claim and/or demand in this regard.

8.2. The Company reserves the right to limit access to the Website, including requiring registration and/or payment as a condition for entry.

**9. Statute of Limitations**

The User agrees that the statute of limitations for any claim against the Company shall be limited to 6 months, and this shall be considered an agreement under the Statute of Limitations Law, 1958.

**10. Jurisdiction and Governing Law**

10.1. The competent courts in the Tel Aviv - Yafo district shall have exclusive jurisdiction over any dispute between the Company and the User arising from or relating to these Terms of Use.

10.2. These Terms of Use, including the Privacy Policy and Specific Terms of Use, shall be governed by the laws of the State of Israel.
